  1. TRUE NORTH SOFTWARE, INC END-USER LICENSE AGREEMENT FOR SOFTWARE.

  3. IMPORTANT-READ CAREFULLY: This True North Software End-User License Agreement ("EULA")
  4. is a legal agreement between you (either an individual or a single entity) and
  5. True North Software, Inc. for the True North Software software product identified above,
  6. which includes computer software and associated media and printed materials,
  7. and may include "online" or electronic documentation ("SOFTWARE PRODUCT" or
  8. "SOFTWARE"). By installing, copying, or otherwise using the SOFTWARE PRODUCT,
  9. you agree to be bound by the terms of this EULA.

  11. SOFTWARE PRODUCT LICENSE
  12.  
  13. The SOFTWARE PRODUCT is protected by copyright laws and international
  14. copyright treaties, as well as other intellectual property laws and treaties.
  15. The SOFTWARE PRODUCT is licensed, not sold.
  16.  
  17. 1.  GRANT OF LICENSE. This EULA grants you the following rights:
  18.  
  19. a. You may use one copy of the True North Software
  20.  Product identified above on a single computer for your
  21.  personal use. The SOFTWARE is in "use" on a computer when it is loaded into
  22.  temporary memory (i.e., RAM) or installed into permanent memory (e.g., hard
  23.  disk, CD-ROM, or other storage device) of that computer. However,
  24.  installation on a network server for the sole purpose of internal
  25.  distribution to one or more other computer(s) shall not constitute "use" for
  26.  which a separate license is required, provided you have a separate license
  27.  for each computer to which the SOFTWARE is distributed.

  29. b. Solely with respect to electronic documents included with the SOFTWARE,
  30. you may make an unlimited number of copies (either in hard copy or electronic
  31. form), provided that such copies shall be used only for internal purposes and
  32. are not republished or distributed to any third party.

  34. 2. OWNERSHIP.    Except as expressly licensed to you in this Agreement,
  35. True North Software, Inc. retains all right, title and interest in and to the SOFTWARE
  36. PRODUCT.

  38. 3. COPYRIGHT. All title and copyrights in and to the SOFTWARE PRODUCT
  39. (including but not limited to any images, photographs, animations, video,
  40. audio, music, text, and "applets" incorporated into the SOFTWARE PRODUCT), the
  41. accompanying printed materials, and any copies of the SOFTWARE PRODUCT are
  42. owned by True North Software, Inc. or its suppliers. The SOFTWARE PRODUCT is protected by
  43. copyright laws and international treaty provisions. Therefore, you must treat
  44. the SOFTWARE PRODUCT like any other copyrighted material except that you may
  45. either (a) make one copy of the SOFTWARE PRODUCT solely for backup or archival
  46. purposes or (b) install the SOFTWARE PRODUCT on a single computer provided you
  47. keep the original solely for backup or archival purposes. You may not copy the
  48. printed materials accompanying the SOFTWARE PRODUCT.

  50. 4.  DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

  52. a. Limitations on Reverse Engineering, Decompilation, and Disassembly. You
  53. may not reverse engineer, decompile, or disassemble the SOFTWARE, except and
  54. only to the extent that such activity is expressly permitted by applicable law
  55. notwithstanding this limitation.

  57. b.  Rental. You may NOT rent or lease the SOFTWARE PRODUCT. 
  58.  
  59. c. You must maintain all copyright notices on all copies of the SOFTWARE PRODUCT. 
  60.  
  61. d. You may not charge for distributing copies of the "Shareware versions" of the 
  62. SOFTWARE PRODUCT to third parties. You may NOT distribute copies of the "registered 
  63. versions" of the SOFTWARE PRODUCT to third parties. 
  64.  
  65. e. Software Transfer. You may permanently transfer all of your rights under
  66. this EULA, provided that you retain no copies, you transfer all of the
  67. SOFTWARE PRODUCT (including all component parts, the media and printed
  68. materials, any upgrades, this EULA, and, if applicable, the Certificate of
  69. Authenticity), and the recipient agrees to the terms of this EULA.

  71. f. Termination. Without prejudice to any other rights, True North Software, Inc. may
  72. terminate this EULA if you fail to comply with the terms and conditions of
  73. this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT.

  75. LIMITED WARRANTY
  76.  
  77. TRUE NORTH SOFTWARE DOES NOT WARRENT THE ACCURACY OF ANY STATISTICS
  78. GATHERED BY SOFTWARE.
  79.  
  80. The software and related manual are provided "as is." , True North Software,
  81. Inc. makes no representations or warranties with respect to the
  82. software and manual and disclaims any express or implied
  83. warranties of merchantability or fitness for any particular
  84. purpose. True North Software, Inc. reserves the right to make changes to any
  85. and all parts of the software at any time without notice.

  88. NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW,
  89. TRUE NORTH SOFTWARE, INC. AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES, 
  90. EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES 
  91. OF MERCHANTABILITYAND FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE SOFTWARE 
  92. PRODUCT. 
  93.  
  94. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 
  95. IN NO EVENT SHALL TRUE NORTH SOFTWARE, INC. OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, 
  96. INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, 
  97. DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, 
  98. OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, 
  99. EVEN IF TRUE NORTH SOFTWARE, INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
